Business Law Associate - Vancouver

What you can expect:

Our busy and well-regarded Business Law group is seeking results-driven Senior Associate/Partner with a strong academic background and relevant experience with general corporate commercial and estate planning & administration matters.

Some of the core responsibilities of the role will include but not be limited to:

  • Advise clients on all aspects of their business cycle from incorporation to financing to corporate restructuring and reorganization to sale. Assisting clients in choosing the appropriate legal structure for their business and facilitating the formation process;
  • Assist clients with interpretation, drafting and negotiating a variety of general corporate commercial agreements, including but not limited to: shareholder agreements, joint venture agreements, leases, operating agreements, consulting agreements, confidentiality agreements, finance and security agreements;
  • Assist clients with aspects of M&A related projects, including drafting and negotiation of purchase agreements and ancillary documentation, oversight of due diligence activities, coordination with all stakeholders;
  • Conduct legal research, identify legal issues and risks, clearly formulate and recommend legal strategies and solutions, advise on a comprehensive range of corporate matters;
  • Understanding of both legal and business aspects to provide effective counsel to clients;
  • Prepare legally sound documents such as wills, trusts and powers of attorney to ensure clients’ wishes are carried out;
  • Work closely with tax advisors to advise clients on and assist with estate planning;
  • Meeting with clients to discuss their financial situation, family dynamics and assist with documenting their wishes regarding their distribution of assets;
  • Guide clients through the probate process, ensuring the orderly distribution of assets according to the deceased’s will or testamentary laws;
  • Assist executors in fulfilling their responsibilities, including filing necessary documents, resolving disputes and managing estate assets;
  • Provide legal counsel to trustees on fulfilling their duties; and,
  • Assist with resolving conflicts that may arise among beneficiaries, trustees or other stakeholders.

Required experience:

  • 5+ years of experience;
  • General corporate and commercial law experience, with a focus on private company law and mergers and acquisitions;
  • Excellent communication, negotiation and analytical skills;
  • Excellent judgement along with top-notch drafting and communication skills;
  • Confident at engaging and interacting with clients;
  • Exceptional work ethic, client service oriented and team player; and
  • Attention to detail and the ability to manage multiple tasks in a fast-paced environment.

While compensation is commensurate with experience, the base annual salary range for candidates with the required experience is expected to be $165K - $175K. This position is eligible for a bonus subject to meeting the requirements of the bonus policy.
