About the role Hybrid | 6-Month Contract The Legal Counsel will be responsible for the provision of legal services to ALS. You will provide comprehensive legal counsel on contracts, corporate transactions, commercial property leases, and entity administration. The successful candidate will ensure legal compliance for various commercial activities in the Americas, serving as a key partner for ALS's continued success in the region. Key Responsibilities: Draft, review and negotiate complex contracts across a full range of commercial matters, transactions and business activities ensuring ALS’ interests are protected and advanced. Assisting with general legal and regulatory requirements, corporate administration and entity management, Providing generalist legal advice of matters relating to employment and labor, property, litigation and general commercial matters in support of business stream functions. Aiding operations on legal matters not requiring outside counsel including review and handling of subpoenas occasionally received by ALS (typically for records), declarations, etc., and providing direction to operations. Active management to foster a culture of “One ALS”. Merger and acquisition due diligence and investigation, review of due diligence material and change of control transaction material and documents. Foster and promote organizational principles of integrity and compliance. Serve as primary contact during contract negotiations. Perform and document review of new contracts for acceptability of terms, recommend changes where appropriate, and communicate key points internally. Engage relevant stakeholders in negotiation decisions involving legal or regulatory requirements, or disputes and litigation etc. Develop and execute negotiation strategies that minimize potential losses and benefit the organization’s financial performance. Awareness of the content and intent of all company policies and ensuring that they are implemented and followed. Recommend to senior management if business issues require additional legal resources. Adherence to a team approach within a continuous improvement culture. Other duties as assigned. About you: Experience in Contract Law and Commercial Transactions, including demonstrated experience in reviewing, negotiating and drafting of complex contacts. Highly organized, motivated and disciplined. Ability to systematically analyze complex problems, draw relevant conclusions and implement appropriate solutions. Strong verbal and written skills, and ability to convey complex information so that others can follow. Excellent negotiating and persuasive skills, both in one-on-one and group situations. Ability to show initiative and accountability. Ability to take ownership of workload and operate autonomously when required. Required Qualifications: 3-5 years post qualification experience as an attorney in commercial contract-heavy organizations (demonstrated experience working in an in-house commercial legal team will be favorably looked upon). Bachelor’s degree in law minimum requirement. Our benefits include: An estimated annual salary ranging from $100,000 - $140,000 CAD at the time of posting. Individual compensation is determined by factors such as job-related skills, relevant experience, education and/or training.
