Senior Paralegal (Corporate Law) Are you looking for a stimulating and dynamic job? We are currently looking for a Senior Paralegal in Corporate Law for one of our clients, a law firm. Responsibilities: • Assist lawyers and clients in all phases of complex corporate, commercial, and tax transactions, including mergers and acquisitions, commercial and tax reorganizations, and public offerings. • Draft documents relating to amendments, agreements, continuations, and dissolutions, or any other change in the structure of a business entity, or the formation of corporations, nonprofit, or charitable organizations, partnerships, and any other type of business entity. • Draft resolutions, agreements, minutes of meetings, and all other documents and forms relating to the operations or transactions of corporate entities and maintain corporate entities in good standing and in compliance with federal, provincial, or extra-provincial regulations. • Participate in the due diligence process by reviewing minute books and conducting corporate searches in Canada and other jurisdictions. • Research and analyze laws and regulations related to corporate law. • Participate in various projects. • Participate in the ongoing training of junior paralegals. What you need to succeed: • DEC in paralegal technology or equivalent diploma. • 8 years of experience in corporate law (corporate and transactional). • Knowledge and understanding of the Canada Business Corporations Act. • Demonstrated ability to communicate in a professional manner with clients, lawyers, and team members. • Adept at exercising tact, discretion, and sound judgment. • Analytical skills and strong problem-solving abilities. • Aptitude for multitasking and ability to work effectively in a team environment. • Excellent time-management and organizational skills. • Meticulous and detail-oriented. • Proficient in Microsoft Office Suite, particularly Outlook, Word, and Excel. • Bilingual in English and French (spoken and written).
