Our private sector client, an established full-service law firm located in Ottawa is looking for a Corporate Law Clerk to join their team and support their corporate lawyers. Salary range: $55,000 - $65,000

About you

To be successful, you will need:

  • Have a Post-Secondary diploma for Law Clerk or related program
  • 3+ years of experience in corporate law
  • Reside in Ottawa and able to work on-site and the client's office
  • A team player that can liaise with the legal team, supporting staff and external clients
  • Demonstrate a high level of professionalism in all interactions
  • Strong written and verbal communication skills through various channels such as email, phone and in-person

About the role

If hired, you will:

  • Prepare the requisite documents for incorporations, amendments, amalgamations, dissolutions, corporate reorganizations, and others when needed
  • Administer Minute Books, including reviewing, reporting, rectifying, updating registers and ledgers, and maintaining records with the Ontario Ministry, Companies Branch, and Corporations Canada
  • Assist on share or asset sale and purchase transactions, including preparing closing agendas and documents, and aiding the completion and closing of transactions.
  • General file administration
  • File, diarize deadlines, and maintain a solid reminder system
  • Open and close client files, prepare reports, and organize closing documents.
  • Prepare various accounting documents, including client accounts.
  • Assist with debt and equity finance transactions.
  • Conduct corporate searches (PPSA, Writs of Execution, Bankruptcy, Bank Act, and Litigation) and prepare reports for clients
  • Prepare and file annual returns
  • Obtain certificates of compliance/status
  • Conduct preliminary name and NUANS searches and draft communication with Corporations Canada when a corporate name is denied
